CHATBOTFOR TERMS & CONDITIONS

These Terms & Conditions, together with all the Contractual Documents set out below (together, the “Agreement”), describe the terms and conditions between you, the customer (“Customer” or “you”), and The Agents Lab SL. (”Chatbotfor”, “we”, “our”, or “us”), a company established under the laws of the Principality of Andorra, governing your access and use of Chatbotfor’s online tools and platform. Chatbotfor and Customer may individually be referred to as a “party” and collectively the “parties.” This Agreement is in effect as of the date that the Customer signs up for any Service online or submits a signed order form that references this Agreement (the “Effective Date”).

By clicking a box indicating acceptance of this Agreement, or by executing an order form that references this Agreement, Customer agrees to the terms of this Agreement. If the individual accepting this Agreement is accepting on behalf of a company or other legal entity, such individual represents that they have the authority to bind such entity and its affiliates to this Agreement, in which case “Customer” shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with this Agreement, you must not accept them and may not use the Services.


A. Definitions

Term Definition
Account Information means information about the management of your Chatbotfor account and information that you and your Users provide to Chatbotfor in connection with (1) the creation or administration of your Chatbotfor account; or (2) Chatbotfor’s maintenance, support or monitoring of your account or the Services. Account Information includes User Personal Data (such as names, pseudonyms, passwords, phone numbers, email addresses), Customer information (such as Workspace metadata, billing information, usage quotas or limits) and communications between the Customer (or User) and Chatbotfor support.
Affiliate means, with respect to a party, any entity that directly or indirectly controls, is controlled by, or is under common control with such party, whereby “control” means the possession, directly or indirectly, of the power to direct the management and policies of such entity, whether through the ownership of voting securities, by contract, or otherwise.
Agreement means this Master Services Agreement, along with its schedules and including any supplementary terms of service, together with all Order Forms entered into between you and Us.
API Key means a unique security-token used to authenticate, access, and use the API provided by a Third-Party Service Provider.
Confidential Information means information that either party (“Discloser”) discloses directly or indirectly to the other party (“Recipient”) under this Agreement, and that is conspicuously marked, or stated as confidential, or would normally be considered confidential under the circumstances. “Confidential Information” does not include information that Recipient can document as: (1) independently developed by Recipient; (2) rightfully given to Recipient by a third party without confidentiality obligations; or (3) public through no fault of Recipient. Chatbotfor’s Confidential Information includes non-public information regarding features, functionality, performance, and pricing of the Services, the Documentation, APIs, and other Chatbotfor products or services.
Customer Data means all data stored by or on behalf of Customer or at Customer’s direction in the Services. Customer Data includes Customer Personal Data, User Content, and any data stored in a Data Source by the Customer.
Customer Personal Data means User Personal Data, Unstructured Personal Data or any Personal Data (i) uploaded to the Services by the Customer and processed by Chatbotfor as a Data Processor on behalf of Customer or its Affiliates, or (ii) otherwise processed by Chatbotfor’s Sub-Processors, pursuant to the instructions given by Customer and as per Chatbotfor’s Data Processing Addendum (“DPA”).
Data Source means a logical data storage unit provided by Chatbotfor and hosted on Chatbotfor’s platform, that allows Customer to upload (or synchronize) and store data and content on Chatbotfor’s Services. A Data Source might contain Personal Data, as such data might be included in unstructured or structured data transmitted by the Customer.
Documentation means Chatbotfor-provided user documentation relating to the Services, as may be updated by Chatbotfor from time to time. Documentation does not include content published in community forums.
Effective Date means the date Customer agrees to this Agreement.
External Provider Services means services provided by a third-party entity, used by the Customer at its own discretion in connection with Chatbotfor’s Services, including without limitation to extend the features of a Customer’s application, to enrich prompts, or to send/retrieve information through an external system. When Customer uses External Provider Services independently, these are not considered Chatbotfor’s Subcontractors or Sub-Processors.
Foundation Model Provider means a Third-Party Services Provider that offers large-scale, pre-trained models (e.g., large language models, image generation models) used as foundational technology for a range of processing tasks.
Force Majeure Event means any event beyond a party’s reasonable control that prevents or delays a party’s performance under this Agreement, including but not limited to acts of government, floods, fires, earthquakes, civil unrest, terrorism, strikes, epidemics, power failures, or Internet service provider failures.
Intellectual Property Rights means all intellectual property rights, whether registered or unregistered, including without limitation copyrights, trademarks, patents, trade secrets, and all similar or equivalent rights worldwide.
Order Form means any ordering documentation or online sign-up or subscription pages, regardless of form, agreed to by the parties, setting forth the Services accessed by the Customer and applicable pricing. Multiple Order Forms may be entered into under this Agreement.
Schedule means a schedule to this Agreement.
Services means Chatbotfor’s online software-as-a-service platform and services including any related APIs, together with all related applications. “Services” exclude Non-Chatbotfor Services.
Subcontractor means a third-party individual or company contracted directly by Chatbotfor to perform certain tasks or services as part of this Agreement. Subcontractors that process Customer Personal Data are considered Sub-Processors.
Sub-Processor means Chatbotfor’s Subcontractors which have access to or process Customer Personal Data. The terms “Sub-Processor” (and “Processor”) have the meanings described in applicable data protection laws (such as the GDPR).
Subscription Fees means all fees associated with Customer’s Subscription.
Subscription Plan means the applicable subscription level of packaged functionality and services (including free trials) as detailed in the Order Form, on Chatbotfor’s website, and in the Documentation at Chatbotfor’s discretion.
Subscription Term means the period during which you have agreed to subscribe to Chatbotfor’s Services.
Third-Party Provider Services means services provided by a third-party entity, integrated or made available on the Chatbotfor platform, and used for the operation of the Services or to extend some of their features. Third-Party Provider Services may include Foundation Model Providers. Any Third-Party Provider involved in the processing of Customer Personal Data is a Sub-Processor under this Agreement.
Unstructured Personal Data means any Personal Data provided by the Customer or User in unstructured data (such as documents or content in Data Sources) or in any data flow not specifically identified as containing Personal Data.
Usage Data means information relating to the provision, use, and performance of various aspects of the Services and related systems and technologies (including feature usage analytics). Usage Data does not contain User Content except for messages to Chatbotfor support.
User means any individual authorized by Customer to access the Services. Each User must use a unique identity and may access the Services only to the extent authorized by Customer.
User Content means any content created, stored, or transferred into a Workspace by a User (e.g., conversations, prompts, inputs, outputs).
User Personal Data means any Personal Data related to a User and stored in that User’s account by the User or the Customer. Other Personal Data provided by the User or the Customer in unstructured data flow is considered Unstructured Personal Data, not User Personal Data.
Workspace means a segregated section of the Service where Users may submit, post or modify Customer Data. Workspaces may have different tiers with different features and functionalities.

B. Description of Services

Chatbotfor provides a software-as-a-service platform that enables Customers to create virtual, AI-powered assistants (“Assistants”) tailored to their organizational needs. These Assistants help users access and leverage the company’s knowledge more easily. Assistants can be configured by the Customer to (i) use remote services provided by Third-Party Service Providers (such as Foundation Model Providers) and (ii) retrieve content from Data Sources fed by the Customer, setting the context for Foundation Models with domain-specific data. Chatbotfor provides access to various Foundation Model Providers available on the market without endorsing any particular provider. It is the Customer’s responsibility to select the Foundation Model Provider that meets its requirements. By using the Services, the Customer agrees to the terms set out in this Agreement.


C. Contractual Documents

The Agreement consists of the following documents. In case of conflict or inconsistency, the order of precedence shall be:

  1. Order Form signed by Customer (or online sign-up/subscription pages);
  2. This Master Services Agreement, including Section B. Description of Services, and any amendments;
  3. Data Processing Addendum (DPA);
  4. Security Measures;
  5. Sub-Processors list;
  6. Foundation Model Supplementary Terms;
  7. Acceptable Use Policy;
  8. Platform Privacy Policy;
